1. Contractual Relationship

These Terms and Conditions (“Terms”) govern your access and use of the website and consultation services provided by Social Handle Growth LLC (“the Company”). By accessing our site, you agree to be bound by these Terms. The Company is a Delaware Limited Liability Company managed by its Managing Director in Italy.

2. Services & Consultation

Scope: We provide social media growth consulting and CRM-based business management tools.

No Guarantee: While we provide expert strategy, "growth" is subject to third-party platform algorithms; we do not guarantee specific numerical results.

Consultation Nature: Information provided during consultations is for educational and strategic purposes and does not constitute legal or financial advice.

3. Intellectual Property

Ownership: All content, strategies, logos, and software on this website are the exclusive property of Social Handle Growth LLC.

Limited License: You are granted a limited, non-exclusive license to use materials provided during your paid consultation for your own business use only.

4. User Obligations & Conduct

Accuracy: You agree to provide accurate information for our CRM and billing purposes.

Prohibited Acts: You may not use our services for "nefarious business practices," including predatory schemes, mass solicitation, or anything that brings undesired attention to the Company’s reputation.

5. Payment and Fees

Currency: All fees are stated in USD ($) unless otherwise specified.

Auto-Pay: If you subscribe to ongoing services, you authorize our Auto-Pay system to charge your payment method on the monthly anniversary of your service.

Late Fees: Payments missed by more than 5 days may incur late penalties and suspension of service.

6. Limitation of Liability & Indemnification

Liability Cap: To the maximum extent permitted by Delaware law, the Company’s liability is limited to the amount paid by you for the service in question.

Exculpation: As per our Operating Agreement, the Member is not liable for acts done in good faith to promote the best interests of the Company.

Indemnity: You agree to indemnify and hold Social Handle Growth LLC and its members harmless from any claims or legal fees arising from your breach of these Terms or your use of the Premises/Services.

7. SMS and Mobile Messaging Program

7.1. Program Description & Consent By opting into the Social Handle Growth LLC mobile messaging program through our website forms or keyword enrollment, you agree to receive recurring automated and personalized marketing and informational text messages (e.g., SMS and MMS). These messages may include:

8. Opt-Out Instructions Your privacy and control are paramount. To stop receiving text messages from us at any time, simply reply STOP to any text message sent from our number. After texting STOP, you may receive one final confirmation message to confirm that you have been unsubscribed.

9. Fees and Carriers

Message and Data Rates: Message and data rates may apply for any messages sent to you from us and to us from you. Please check with your wireless carrier for details regarding your text plan and costs.

Liability: Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to the effective transmission from your network operator.

10. Age Restriction By subscribing to our SMS service, you acknowledge and certify that you are 18 years of age or older. We do not knowingly collect data from or market to individuals under the age of 18.

11. Privacy & Mobile Data
No Third-Party Sharing: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Support Services: Information sharing to subcontractors in support services, such as customer service or technical CRM troubleshooting, is permitted only to the extent necessary to fulfill our service obligations to you.

12. Dispute Resolution & Governing Law

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Jurisdiction: Any legal action relating to these Terms shall be filed in the courts of Delaware.

International Use: As you are accessing this service from outside the US, you are responsible for compliance with local Italian and EU laws.

9. Termination

We reserve the right to terminate your access to our services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or the Company.
